Terms of Service
Effective: [date to be set at launch]
These Terms are an agreement between KruSource LLC, a Georgia limited liability company ("KruSource," "we," "us"), and the business or person that signs up for KruSource ("Customer," "you"). By creating an account or using the Service, you agree to these Terms. If you sign up on behalf of a business, you confirm you have authority to bind it.
1. The Service
KruSource provides field service and job costing software, including a web app, mobile apps, hosted booking pages and related services (the "Service"). We may add, change or remove features over time. KruSource is a business tool. It helps you organize information and send data to your accounting system, but it is not accounting, tax or legal advice, and you remain responsible for your books, filings and compliance.
2. Accounts and users
- You must give accurate account information and keep it current.
- You are responsible for the people you invite as users (such as technicians and office staff), for their activity in your account, and for keeping login credentials secure.
- Users must be at least 16 years old.
- Tell us right away at info@krusource.com if you believe your account has been accessed without permission.
3. Pilot and subscriptions
Pilot
KruSource is currently offered as a pilot. During the pilot, the Service may change often, may be unavailable at times, and may contain errors. Pilot pricing, if any, will be agreed with you in writing. Please keep your own records and do not rely on the pilot Service as your only copy of important information.
Subscriptions
After the pilot, use of the Service may require a paid subscription. Prices, billing frequency and included features will be shown before you subscribe. Unless stated otherwise, subscriptions renew automatically until cancelled, fees are billed in advance, and fees already paid are not refundable except where required by law. We will give you at least 30 days' notice before changing the price of your subscription. You are responsible for applicable taxes.
4. Your data
- You own your data. Everything you and your users put into KruSource, including customer records, job records, photos, receipts and accounting data ("Customer Data"), belongs to you.
- Our limited permission. You give us permission to host, process, transmit and display Customer Data only as needed to provide, secure and support the Service, and as described in our Privacy Policy.
- Your responsibilities. You confirm you have the right to enter the information you put into KruSource, including your clients' contact details, and to have us send messages to them on your behalf.
- Getting a copy. You may request a copy of your Customer Data while your account is active and for 30 days after it ends.
- No sale. We do not sell Customer Data.
5. Acceptable use
You agree not to, and not to let anyone else:
- use the Service for anything unlawful, fraudulent or deceptive;
- send spam or messages to people who have not agreed to receive them, or ignore opt-out requests;
- upload malware or content that infringes someone else's rights;
- try to access accounts or data that are not yours, or probe, scan or break our security;
- overload, disrupt, copy, reverse engineer or resell the Service, except as the law expressly allows;
- use the Service to build a competing product.
We may suspend access that violates these rules or puts the Service or other customers at risk. Where practical, we will tell you first and give you a chance to fix the problem.
6. Third-party services
The Service can connect to other services, such as QuickBooks Online. When you connect one, KruSource sends data to it at your direction, and your use of that service is governed by its own terms. QuickBooks remains your system of record for your books. We are not responsible for third-party services, and we cannot guarantee that a connection will always be available.
7. Customer messages
If you turn on automatic text or email messages to your clients (such as "on my way," "job done" or review requests), you are responsible for having the consent the law requires to send them, and for the content you choose to send.
8. Our property
KruSource and its software, design and content (other than Customer Data) belong to KruSource LLC and its licensors. We give you a limited, non-exclusive, non-transferable right to use the Service under these Terms while your account is in good standing. If you send us feedback, we may use it without any obligation to you.
9. Disclaimers
TO THE EXTENT ALLOWED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT PROMISE THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT CALCULATIONS, TRANSCRIPTIONS OR SUGGESTIONS IT PRODUCES WILL BE ACCURATE. YOU ARE RESPONSIBLE FOR REVIEWING JOB COSTS, INVOICES AND ACCOUNTING ENTRIES BEFORE RELYING ON THEM.
10. Limitation of liability
TO THE EXTENT ALLOWED BY LAW, KRUSOURCE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
11. Indemnity
You will defend and hold KruSource harmless from claims by third parties arising from your Customer Data, your messages to your clients, or your violation of these Terms or the law.
12. Termination
- You may stop using the Service and delete your account at any time. See Delete your account.
- We may suspend or end your access if you materially breach these Terms and do not fix the breach within 10 days after notice, immediately for serious violations of Acceptable Use, or if we stop offering the Service, with at least 30 days' notice in that case.
- When your account ends, your right to use the Service ends. You may request a copy of your Customer Data for 30 days, after which we will delete it as described in our Privacy Policy.
- Sections on your data, disclaimers, limitation of liability, indemnity, governing law and anything else that by its nature should survive will survive termination.
13. Governing law
These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Georgia, and both parties consent to their jurisdiction.
14. General
We may update these Terms. If we make material changes, we will notify account owners by email or in the app before the changes take effect; continuing to use the Service after that means you accept them. These Terms, together with any order form or pilot agreement and our Privacy Policy, are the entire agreement between us about the Service. If any part is unenforceable, the rest stays in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale. Neither party is liable for delays caused by events beyond its reasonable control.
